"8.1. INTRODUCTIONThe purpose of this chapter is not to provide precedents or examples of provisions, but rather to offer some comments that may be worth considering in the negotiation or review of an agreement. These comments are not intended to be exhaustive. It must also be noted that, although the chapter is written in the context of a common law joint venture, the concepts and concerns for the most part apply equally to a corporation that is owned by only a few shareholders for the purpose of participating in the project held by the corporation.The corporation has the advantage of having much of its organization established by local corporate law, but the particular wishes of the shareholders will appear in a shareholders’ agreement. The principal differences will be surprisingly small, save for the acquisition provisions that appear in a farm-in agreement1 and the substantial portion of the joint venture agreement devoted to creating and organizing the joint venture entity. Where the joint venture agreement refers to venturers and committees, the shareholders’ agreement will refer to shareholders and the board of directors, but both will have to deal with such basic matters as decision-making, default, dispute resolution, first refusals, funding, and carrying out work on the project. For convenience, this chapter usually refers to “venturers”, which may be taken to include shareholders.Negotiations give rise to many varying circumstances and concerns, and the main asset of the negotiator is an open and flexible mind. A desired result can often be accomplished indirectly in circumstances where the other side has adopted an inflexible position on a suggested approach. As precedents and standard forms tend to focus a negotiator’s thinking, they can be counterproductive. It is after the deal has been agreed to that a precedent can be of great assistance to the draftsman.The concepts are arranged in alphabetical order for convenience, not to suggest their sequence or position in an agreement or their relative importance. An agreement should adopt a progression of subjects in what the parties consider a logical sequence to read and work with. However, experience has indicated that it is best to set out in a single article the substance of the deal (i.e. the terms relating to the farm-in and what the acquiring party has to do to acquire his interest), preferably near the beginning of an agreement. The acquisition of the interest is, after all, the first order of business. The joint venture provisions will then follow in a reasonable sequence. It is also worthwhile to devote a single article to any special provisions that may apply during the earn-in period. For example, it may be provided that, although all work is to be done by the acquiring party as operator (with the duty of care, liability, and reporting requirements as set out in the joint venture sections of the agreement), but during the acquisition period, the acquiring party, acting as operator, may be at liberty to do such work as he wishes, without the need for any committee or other approvals, and committee meetings may be suspended.2An agreement is divided into paragraphs and articles to make it easier for the parties to read and understand, and to assist a party in finding “that provision” when the need arises. A comprehensive table of contents will also assist the parties who must work under an agreement. An added benefit of a table of contents is that in preparing it, the draftsman sees the overall structure of the agreement and will often catch and correct flaws."

World wide applications for nickel use will be summarized and examples of those uses given. Nickel products are critical to many important aspects of modern society. These products are just as important for modern China as they are in other parts of the world. It is argued that future pattern of nickel use in China should be expected to be very similar to that in the rest of the developed world. Total use of nickel in products in China is already very large. In 2004, it was the largest market for stainless steel (nickel containing) in the world. A survey of Chinese stainless steel applications will be presented. Current high nickel prices have revived speculation about substitution, particularly for nickel containing stainless steels. The presentation will discuss some of the complicating factors that need to be taken into account when considering substitution. These factors are as valid in modern China as they are in other developed economies. Recent substitution efforts and the reaction to them will be examined. The Nickel Institute position regarding appropriate application of the various grades of stainless steel will be discussed. Price-motivated substitution in China, and elsewhere, will occur but it is argued that the extent will probably be limited.

After World War II Canada?s fledgling iron ore mining industry developed along the ill-defined Quebec / Labrador border near what became the town of Knob Lake and later renamed Schefferville. For about twenty-five years from 1954 to 1982 Schefferville was the epicenter of Canadian iron ore mining and the foundation of the Iron Ore Company of Canada. In about 1982 it all stopped, shut down, the miners moved away leaving behind a mining camp and a ghost town that have sat idle and almost deserted for the past twenty five years. The story looks set to change with new plans to re-establish the former mining operations in the historic mining camp. This paper outlines the proposal to reactivate the direct shipping iron ore operations in the Schefferville mining camp, and specifically the properties in Labrador owned or optioned by Labrador Iron Mines Limited (?LIM?), a wholly owned subsidiary of London Stock Exchange listed Anglesey Mining plc. The Schefferville mining camp is located about 1,000 km northeast of Montreal. There are no roads connecting the area to southern Labrador or to Quebec. Access to the area is by rail from Sept Iles to Schefferville, or by air from Montreal and Sept Iles.

Mkango Resources Limited is developing the Songwe Hill Rare Earth Element Project in southeast Malawi. Since being awarded the exclusive exploration licence for the project in January 2010, Mkango has completed an extensive work programme including detailed mineralogical studies, geological mapping, geochemical sampling and trenching, environmental and social studies, two phases of diamond drilling, and extensive metallurgical test work. In October 2012, the company announced a NI 43-101 compliant mineral resource estimate comprising an Indicated resource of 13.2 million tonnes grading 1.62% total rare earth oxides (TREO) and an Inferred resource of 18.6 million tonnes grading 1.38% TREO. The Indicated mineral resource estimate formed the basis for commencement of the Preliminary Feasibility Study (PFS). The mineralogical program identified the fluorocarbonate mineral, synchysite, and the phosphate mineral, apatite, as the primary rare earth element (REE) bearing minerals. Extensive flotation testwork conducted at Mintek in South Africa has resulted in an effective regime to increase the REO grade 2.6 times. Initial leaching testwork by Mintek identified that a selective hydrochloric acid (HCl) leach can target the gangue minerals with minimal REE dissolution. Recent testwork undertaken at Nagrom in Western Australia has expanded on this work to develop a two stage HCl leach process incorporating HCl recycling. A downstream processing route of purification and cerium rejection to produce a cerium depleted high grade REE concentrate suitable as feed to a separation facility is proposed.

Slurry pipelining, as now under-stood and practised, can only command marginal interest in Canada, as long-distance railway freight charges in this country are generally lower than slurry pipeline tariffs. Several alternatives to conventional slurry transmission are, however, now emerging, and two such alternatives are briefly discussed with reference to coal pipelining. In one, coal is transported as a suspension in oil; the other contemplates the movement of paste "slugs." Preliminary economic estimates indicate that the resulant process simplification and adoption of common carrier principles could lead to cost reductions that might make Western coal competitive with imported fuel in the power generating stations of eastern Canada. R ECENT appraisals of slurry pipelining techniques, some-what incongruously 'based upon the performance of successful installations (1,2), are making it increasingly apparent that current solids pipelining methods can only command marginal interest as methods of bulk commodity transportation (3). "Testwork was conducted in order to compare the effectiveness of carbon based catalysts while oxidizing a gold-bearing pyrite concentrate under atmospheric conditions. Without the use of a catalyst the oxidation of pyrite was incomplete after 96 hours, resulting in roughly 60% pyrite oxidation. Furthermore the resulting sulphate yield from unassisted pyrite oxidation ranged between 72 and 84%. It is evident that atmospheric oxidation of pyrite is not viable due to slow oxidation kinetics and high sulphuric acid production when using a ferric sulphate media without a catalyst. The effect of two different carbon based catalysts, one Lewatit® AF 5 a new microporous carbonaceous bead, and the second a granular coconut shell based activated carbon, were tested under the same oxidation conditions as the unassisted pyrite tests. After 96 hours, Lewatit® AF 5 assisted oxidation showed approximately 96% pyrite oxidation with a sulphate yield ranging between 26 and 35%, while the activated carbon assisted oxidation reached approximately 100% pyrite oxidation with a sulphate yield between 36 and 37%. Testwork indicated that not only does the addition of a carbon based catalyst greatly improve the oxidation kinetics and lead to almost complete oxidation, the sulphate yield is also drastically reduced, resulting in very high elemental sulphur yields.INTRODUCTION Pyrite is an important sulphide mineral due to its ability to contain invisible gold concentrations up to 132 g/t (Chryssoulis & Cabri, 1990). As a result, ores composed of only a small amount of pyrite still have the ability to contain high gold grades. This refractory gold cannot be accessed via conventional gold leaching processes, such as cyanidation, and additional oxidative pre-treatment is required to liberate the gold, making it more amenable to extraction (Marsden & House, 2006). Current oxidative pre-treatments do exist consisting of both pyrometallurgical and hydrometallurgical processes including high temperature and high pressure leaching within autoclaves, biological atmospheric leaching and roasting. Autoclaves are a proven process reaching desirable recoveries within approximately a 1–2 hour retention time, due to the increased temperatures and pressures, allowing for an increase in dissolved oxygen (Marsden & House, 2006). The typical reaction for pyrite oxidation within autoclaves is presented in Equations 1, 2 and 3."

"In 1988, two of the present authors Warner and Vahed [1] were amongst several co-authors on a seminal paper reviewing nickel pyrometallurgical operations of the era. Given that significant changes in the nickel industry have occurred since that time, including the overall political landscape, technology, the overall world energy picture, the countries sourcing nickel and finally the nickel market itself, the present authors considered it timely to provide a 2015 update. In 1988, total world nickel production from sulphide and laterite sources, including production in the former "Centrally Planned Economies"- was about 0.86 million tonnes/a, while in 2014 total world nickel production reached an all-time high of almost 2 million tonnes/a - some 230% higher. On the other hand, while in 1988, about 94% of world nickel was produced pyrometallurgically and of the order of 33% via laterites, today, about 88% of nickel is by pyrometallurgy, with some 41% from laterites, thus showing that more nickel is now sourced from laterites, a trend which is expected to continue.During the period under review, new processing technologies were developed and introduced, along with substantial improvements in both the technologies employed and the scale of operations. Significant productivity gains have been achieved in sulphide pyrometallurgy in part through more efficient mineral processing, particularly in pyrrhotite rejection, and the use of ever larger-scale process equipment. This made it possible to treat lower grade and more complex ores. The significant game-changer from a production perspective was the introduction in the early 2000s of nickel pig iron (NPI) in China via modified iron blast furnace smelting, an old technology long ago cast aside by other nickel producing countries. With the exception of the emergence of this new NPI capacity in China, in the laterite industry modernization and expansion of existing operations has been employed to gain productivity, to cut costs and/or offset the effect of declining ore grades. The NPI technology development has become a game changer in the traditional global supply and demand relationship, opening up a new frontier to supply nickel to low grade utility steel producers. One other key nickel development was the Indonesian ban on nickel ore exports effective in January 2014, thus effectively curtailing NPI production at existing Chinese plants, but on the other hand, potentially prompting new smelting facilities in Indonesia. This paper reviews and updates major pyrometallurgical sulphide and laterite operations worldwide, including changes in nickel extractive metallurgy. It also provides a brief review of new developments in pyrometallurgical operations, with special focus on the NPI process and presents an outlook of the potential future direction of the industry."

The past decade shows record increases in global demand for minerals and metals with an accompanying significant decline in skilled personnel. Mining companies today are examining new technologies to maximize production, reduce costs, and create safer work conditions to deal with this shortfall. Automation of an open-pit mine haulage system is receiving attention as a beneficial option since it provides more consistent and efficient operation of mining equipment, it removes workers from potential danger, it reduces fuel consumption significantly reducing greenhouse gas (GHG) emissions, and it can help optimize vehicle repairs and equipment replacement because of more-predictable and better-controlled maintenance. This paper describes a simulation model under development using the EXTENDSIM software package to examine scale-up issues and constraints of autonomous vehicles in comparison to a manual system. The software can predict and manage Key Performance Indicators (KPIs), such as productivity, safety, cost, equipment failures, fuel consumption, and tire wear under different road and load conditions. By breaking-down the various systems of an autonomous haulage truck and simulating the overall haulage system using a Monte Carlo approach, the model becomes a flexible and powerful tool to use within a mining organization. Direct comparison to a manuallyrun system can be done to show the cost and operational benefits of automation. Project managers can use this tool to guide decision-making about possible application of autonomous haulage trucks at a specific mine site.

"The Canam property is in southern British Columbia, 24 miles southeast of Hope. It is reached by 5 miles of road from Mile 26 on the Hope-Princeton Highway.Between the years 1930, when the property was discovered, and I 938 development work by The Consolidated Mining and Smelting Company of Canada, Limited included some open-cuts and six adits totalling 2,700 feet in length. Canam Copper Company Ltd. explored the property intermittently from 1947 to 1955 by diamond drilling and underground work, including driving No. 10 adit. From surface down to the level of No. 10 adit, about 1,250,000 tons of ore has been outlined with an approximate grade of 1.25 per cent copper, 0.8 ounce silver per ton, and 0.01 ounce gold per ton. The ore in the upper part of the deposit also contains a little molybdenum and a little uranium.In June, 1955 Canam Copper Company Ltd. made arrangements to have the property brought into production under the direction of Mogul Mining Corporation Ltd. of Toronto, and a new low level adit has been started.GENERAL GEOLOGYThe principal rocks on the Canam property are chert, cherty argillite, and argillite. They are considered to be Jurassic or Lower Cretaceous in age. Although massive bands to 150 feet in thickness occur, these rocks are in general thinly bedded. Conformable bands of pyrrhotite, a fraction of an inch in thickness, are not uncommon in the well-bedded rocks, and fine tourmaline can be observed in various places.The sediments strike slightly west of north and dip quite steeply, generally eastward; however, sharp divergences from this general attitude are fairly common.Dark grey dioritic sills, in which slender prismatic crystals are conspicuous, are fairly common in the sediments. In general the sills are less than 25 feet in thickness, but a few are as much as 100 feet thick. Under the microscope the sills are seen to consist largely of amphibole (pargasite) and plagioclase (near An50)."

"This paper discusses the experience of Noranda Mines Limited, Matagami Division, with the vertical crater retreat (VCR) method in the mining of narrow-vein stopes. Although limited to only one stope, the viability of this method at the Radiore No.2 Mine has proven that further use of VCR in narrow-vein mining will be made.IntroductionThe Radiore No.2 property is located east of the Bell River in the southeast quadrant of Isle-Dieu Township, approximately 4.5 km east of the town of Matagami. The new James Bay Highway is 2.5 km north of the property and access to the mine is by a 2.5-km logging road.The property was staked by Radiore Uranium Mines in March 1961 and the sulphide body was first indicated by an E.M. survey. Diamond drilling commenced in the fall of 1961 and was completed by the end of 1962. As per an agreement in 1970, the claims were sold and assigned to Orchan Mines Limited. Subsequently, the property was transferred to Bell Allard Mines Limited, a wholly owned subsidiary of Orchan Mines. Early in 1979, Noranda Mines Limited acquired the property and it is now part of Noranda's Matagami Division.Geology and MineralizationThe deposit is in a band of volcanic rocks north of the Bell River complex. The lens of massive sulphides dips almost vertically and strikes almost east-west. The north contact is essentially sharp against andesite material; the south contact is less well defined, as the massive sulphides tend to grade into more disseminated material.The orebody varies from 5 to 20 feet in width, by 350 feet long and 200 feet in height. The overburden is composed of sand, gravel and clay, varying from 0 to 26 feet in depth. The ore reserves were 153,340 tons grading 1.97% copper and 1.01% zinc including 10% of dilution at zero grade."

SINCE the beginning of this century the non-ferrous mineral industry has contributed $17,809,-000,000 to the economic growth of Canada. To contemplate the vast amount of investment capital required and the resultant beneficial distribution of these billions of dollars for labour, transportation, supplies, taxes and dividends, challenges the imagination. It is the purpose of this paper, (a) to trace the development of the industry since its formative period to the present; (b) to discuss the current situation and problems; and ( c) to attempt to peer into the hazy future. "The methods generally applied to predict performance and financially evaluate beneficiation options are reviewed.Typical costs f or a western Canadian thermal coal operation are examined. Preparation-from truck dump to loadout-frequently amounts 10 over a quarter of total minesite costs. Failure to achieve projected yield-whether caused by mine or plant problems-s-substantially increases production costs because more coal has 10 he mined to meet a specific market demand. Coal is a low value per tonne product. To supply distant markets from geographically isolated deposit s necessitates expensive , dedicated , infrastructure . T o be profitable these operations must achieve eve ry advantage of the economy of scale.Each of the mi ne complexes commissioned in the 1970s experienced severe problems in the area o f co a l preparation . Most bought their way out , paying for major plant modifications by increasing the scale of their total operation . The current market recession may not allow new operations this route to profitability.The objective of this paper is to illustrate the economic impact of coal preparation problems on the profitability o f the total minesite operation and thus provide a sound basis for decision making process."

The largest known platinum group metal (PGM) deposit in the world is the Bushveld Complex in South Africa, with the Great Dyke in Zimbabwe also being one of the biggest. It is therefore not surprising that the majority (just over 5 million troy ounces or 156 metric tons per annum) of the world's platinum is produced in Southern Africa. Primary smelting of ore concentrates is carried out in that region by five companies, namely Anglo Platinum, Impala Platinum, Lonmin Platinum, Northam Platinum, all of South Africa, and Makwiro Platinum in Zimbabwe. The only other primary smelter of platinum group metals is Stillwater Mining of Montana, USA, although very significant quantities of PGMs are produced as co-products by Norilsk Nickel of Russia. Smaller (but still significant) quantities of PGMs are produced by Falconbridge and Inco of Canada, also as co-products from nickel sulphide smelting. There are many similarities between PGM smelting and nickel sulphide smelting, and the range of technologies in use includes six-in-line rectangular electric furnaces, three-electrode circular AC furnaces, Peirce-Smith converters, and Anglo's ACP (based on Ausmelt technology). PGMs are also recovered from residue materials using DC arc furnace technology.

ABSTRACT A methodology based on a two-stage approach was developed for process technology selection. The first stage includes evaluation of available technologies, followed by shortlisting the best technologies based on mass and energy balance modelling, financial analysis, and risk analysis. The second stage involves detailed analysis using refined input data, mass and energy balance modelling, and capital and operating cost estimation, as well as a more detailed financial analysis. A case study covering the selection of ironmaking technologies for a company in the Russian Federation is presented to illustrate the critical elements of the methodology and the analysis process.

The history of the lighting of mine workings dates back to the early part of the 18th century, when small candles known as tallow dips, were used. These were set or held in a lump of wet clay. When looking for gas the flame of. the candle was reduced to a mere glimmer by surrounding the wick below the flame with clay. The candle was then very cautiously raised from the floor toward the roof, the observer screening the brighter portion of the flame with his hand and watching for the first appearance of the pale blue cap above the flame, even at that time, known to indicate the presence of gas. When this appeared the candle was lowered quietly and its flame extinguished before attempting to drive out the gas. A very common and dangerous practice adopted at that time was to get rid of the gas by firing it. This was done by a person selected for his nerve rather than for his caution. Dressed in a? suit of dampened sackcloth or leather, this man well termed a "fireman", would lie prone on the floor of the roadway and light the gas above him by raising his candle fastened to the end of a long stick. If he survived, which was not always the case, he would withdraw promptly to fresh air after the flame had passed over him.

"IntroductionDuring 1994, Barrick Gold Corporation, or American Barrick at that period, acquired Lac Minerals Ltd. properties. One of them was the Bousquet Complex. The Bousquet Complex is divided into three distinct sites: one mine (Bousquet 2), one mill (Est-Malartic Division) and one analytical chemistry laboratory (Les Terrains auriferes).The Bousquet 2 orebody was discovered in 1986. An extensive drilling program was initiated during 1987. Its purpose was to define the orebody extent. At the end of 1997, gold production from Bousquet 2 mine reached 1 290 000 oz of gold from a cumulative tonnage processed of 4 175 000 M t.From 1980 to 1990, the Est-Malartic mill was used for the treatment of ore from the following mines: Bousquet 1, Doyon, Francoeur (Richmont mines), Buckshot and 1-20 stope. At present, the mill receives ore from the Bousquet 2 mine.HistoryThe Est-Malartic mill is located close to the town of Malartic in northwestern Quebec. The mill has been in production since the mid-1930s processing mainly clean, free mill gold ore. Active mining from the Est-Malartic mine ceased in 1979 and the mill was switched to custom processing of ore from La Mine Doyon located some 45 km to the west. This custom processing arrangement continued until 1987 when the expanded mill at Doyon became available to process all of the Doyon production. In 1987, Lac Minerals commenced development of a second mine at the Bousquet site located 40 km west of Malartic. This mine, Bousquet 2, is the down dip extension of the La Ronde mine developed by Agnico Eagle. During pre-feasibility evaluations, it was determined that it would be economically more attractive to modify the existing Est-Malartic mill than building a new facility on site. The Est-Malartic mill modifications for processing the high-copper/gold ore from the Bousquet 2 mine began in late 1989 and new circuits were commissioned in mid-1990. Modifications included the addition of both gravity and flotation concentration circuits to recover coarse, free gold and the copper. The introduction consists of back-ground information, of an historical and statistical nature, relating to the Thompson mine. The geological presentation is based on illustrations that are intended to provide a progressively closer look at the ore occurrence. The illustrations consist of an index map, a geological map of a 15-by 85-mile area including the Thompson mine, a series of four maps dealing with the geophysics and geology of a 6-by 4\f.j-mile area at Thompson, a mine level plan and corresponding section, two sto11e 11lans and corresponding sections, and photo-graphs and photomicrogra11hs of the various one types. T HE Thompson mine is located about 400 miles due north of Winnipeg. The ore deposit was dis-covered in February, 1956. Five years later on March 25, 1961, the Thompson production facilities were officially dedicated with the shearing of the first nickel produced at the Thompson refinery. Full production, at an annual rate of more than 75,000,000 lbs. of refined nickel, was attained later in the year.
