THE Alaska Juneau mine has been developed through an adit driven at the elevation of the top of the mill and all mining is done above this main haulage level. As a result of wholesa1e"mining operations about 11,000 tons rock containing one dollar' per ton in gold is, hauled to the. concentrator during every 24 hr. Due to the method of mining, whereby a system of oreways delivers-the.ore direct from the stope to the bottom level of the mine, no tramming of ore is done on any of the upper levels. However, ;in doing exploratory drifting and crosscutting on the upper levels, the broken material is trammed by hand in 1-ton 18-in. gage cars to a nearby raise connecting with one of the several oreways. This constitutes the only tramming operation except that on the main level.

Safety in coal mines depends largely upon adequate training of the foreman. Although management must provide modern and safe equipment and at all times keep mines in first class condition from a safety viewpoint, final results will be determined by the quality of supervision. HANNA COAL CO., Division of Pittsburgh Consolidation Coal Co., operates three large underground mines in eastern Ohio. The section of Pittsburgh No. 8 coal seam in which these mines are located varies in thickness from 52 to 64 in. It is immediately overlain by a stratum of shaly material 12 to 15 in. thick locally known as draw slate, which is structurally very weak and which disintegrates rapidly upon exposure to atmosphere. Immediately above the draw slate as it is normally found is a band of extremely high ash material 6 to 12 in. thick known as roof coal or rooster coal, and above this is a stratum of conglomerate material varying from 4 to 10 ft in depth. Overlying the conglomerate is a relatively thick stratum of limestone, the first stable material above the Pittsburgh coal seam in eastern Ohio. With the method of full-seam mining that has been adopted, draw slate is shot down, loaded with the coal, and removed in the preparation plants. The roof coal then becomes the permanent roof. The major problem in mining the No. 8 seam in eastern Ohio is control of the roof. Since the strata above the draw slate contains no material with a structure firm enough to provide self-support, the roof begins to sag in a relatively short time after the coal and draw slate have been removed. The problem thus becomes one of getting temporary safety posts under this roof as quickly as possible to prevent a break or separation from occurring either in the roof coal or in the conglomerate above it. Haulage System The Pittsburgh No. 8 seam in eastern Ohio is relatively level, with only minor local dips. Throughout the Hanna Coal Co. mines, entries are generally 12 ft wide. Rooms are driven on a 60" angle on 30-ft centers and are 22 ft wide. No attempt is made to extract the 8-ft pillars between. The entire length of main line haulage is gunited in one mine, and a major portion in another. Two of the mines have single-track main haulage roads with passways. The third, a new mine, is double-tracked, and the roof is supported by steel crossbars, 60 lb or heavier, spaced on 4-ft centers and lagged. In recent years timbering on main line and secondary haulage roads has been accomplished by one of two methods: 1—crossbars are supported on a small section of post set in a hitch hole in the rib, or 2—or a hole is drilled in the rib about 12 in. below the roof, of sufficient depth to fasten securely a short length of 40-lb rail, the bottom of the rail facing the roof, on which a short post is set directly under the crossbar. At present the hitch-hole timbering method is favored. At two of the mines the main line haulage locomotives are 26-ton, 8-wheel units. These locomotives are of the axleless type, each wheel being individually mounted on the frame. The motorman's compartment is encircled by 3-in. armor plate for the protection of the occupants. At the third underground mine conventional 15-ton locomotives are being used. However, these locomotives have been completely rebuilt in the company's shops. Equipment has been streamlined and quarters have been provided for two people, who are protected by heavy steel plate in much the same way described above. This modernization program has been completed on all secondary haulage locomotives at the three mines, and the company is well on the way to similar equipment of the 6-ton section locomotives. The following additional features have been included in their modernization: 1—additional support for the motors to prevent their falling to the middle of the track and derailing the locomotives should a break occur in the suspension bar support; 2—installation of additional bracing to prevent brake rigging from becoming displaced and causing derailments; 3—enclosure of all electric wiring in conduit or raceway; 4—provision of an enclosed compartment for the storage of re-railers, jacks, and other equipment, so that they need not be carried on the outside of the motor; and 5—redesign of the end of the locomotive opposite the operator's compartment to prevent anyone's mounting from that direction. Pilot plant test work in 1942 and 1943 showed that by a combination of desliming, fine-size classification, and Sullivan deck concentration it is possible to recover heavy minerals such as cassiterite at least as fine as 10 microns in size. This appreciable improvement in gravity concentration practice has been substantiated by several full-sized plants.

Sodium sulfate is an important chemical raw material that is being used in ever increasing quantities in modem industry. It comes on the market mainly in three forms: (1) Salt cake (Na2SO4), a relatively crude form of the anhydrous salt containing up to 3 pct impurities, and comprising about three-quarters of the North American production; (2) anhydrous sodium sulfate (Na2SO4), a refined form containing less than 0.3 pct impurities; (3) Glauber's salt, the decahydrate (Na2SO4.10H2O) containing 55.9 pct water of crystallization. Competing with salt cake from natural sources is byproduct salt cake from a number of industrial operations. For instance there is Mannheim cake resulting from the manufacture of hydrochloric acid by the reaction of salt (NaCl) and sulfuric acid in Mannheim furnaces; rayon cake, a high-quality product, resulting from the process of making rayon by the viscose process; chrome cake from the processing of sodium chromate to dichromate; phenol cake from the manufacture of phenol; also byproduct sodium sulfate resulting from the conversion of lithium sulfate to lithium carbonate; from the processing of sodium tetraborate to boric acid; from converting sodium formate to formic acid; and in the manufacture of cellophane. Sodium sulfate is also obtained as a byproduct in the manufacture of isosebasic acid. In addition strong competition has resulted from imports of byproduct salt cake from the chemical industries of a number of highly industrialized European countries. However in recent years due to technological changes the output of byproduct salt cake is rapidly diminishing and the natural deposits are becoming the most important source of sodium sulfate used in North America. For instance, the production of hydrochloric acid in Mannheim plants has become obsolete and thus the greatest single source of byproduct salt cake will disappear. Also viscose rayon is meeting strong competition from nylon and other synthetic fibers and production of byproduct salt cake from this source may do little more than remain at the present level. These factors together with increasing demand for sodium sulfate point to increased production from natural sources. In 1958, 36 pct of the total United States production was derived from natural sources and in addition 97,000 short tons was imported so that over 40 pct of the total consumption was supplied by natural sources whereas in 1953 the proportion was only 24 pct. The rapid growth in production is shown in Table 1. Principal Sodium Sulfate Minerals There are many minerals in which sodium sulfate is a constituent but those of commercial importance at the present time, and consisting wholly of sodium sulfate in either the hydrous or anhydrous states, are mirabilite and thenardite. Minerals of potential importance but consisting in part of compounds other than sodium sulfate are glauberite in which sodium sulfate is combined with calcium sulfate, and blödite in which sodium sulfate is combined with magnesium sulfate. Mirabilite (Na2SO4.10H2O) the decahydrate, consists of 24.8 pct SO3, 19.3 pct Na2O, and 55.9 pct H20. It is a colorless to opaque, soft, water-soluble mineral with a slightly bitter taste. It has a hardness of less than 2 and a specific gravity of 1.48. It forms long needle-

C. H. Samans and W. R. Ham (Chicago, Ill., and Dix-field, Maine, respectively)-—For several years we have been studying transitions of this basic type in metals, alloys, glasses, etc. Usually, however, they are not so clearly marked as those which the authors have found, and hence are much more difficult to determine accurately. Since our studies indicate that most of them occur virtually unchanged (as far as temperature is concerned) regardless of the form in which the element appears, we believe that they are a characteristic of the atom. Specifically, we believe that there is an additional rotational degree of freedom possessed by the nucleus which has not been considered heretofore. This nuclear rotation is made up of several components, each related to the several quantum shells of electrons. In chromium there are four of these shells and hence four separate series of characteristic transition temperatures. The lowest temperature at which any transition occurs, based on the present state of our computations, is 125°K, 4° higher than the authors' value of 121°K. A convergence of this series, we believe, shows up at the higher temperature of 2085 °K, surprisingly close to the transformation temperature of 2103°K recently announced by N. J. Grant of M.I.T. for a body-centered to face-centered transformation in chromium. Likewise, our computations indicate a temperature of 311°K for the second transition temperature, reported by the authors as 310 °K. A convergence of this series, we believe, shows up at a higher temperature as the melting point at 2163°K. Although our work on these series must, in a sense, still be regarded as empirical, since we do not understand fully as yet just what the series mean, it is based on a reasonably firm picture. The individual constants, from which the various series are computed for each element, comes directly from the X-ray K absorption limit. Furthermore, the same basic method has accounted for transformation and melting temperatures in about 50 of the chemical elements, which is all we have tried thus far. In many cases the only known transformation is the melting point, but in others the occurrence of transformations or other transitions, equally as well marked as those of the authors, has been pointed out by others. These observations have assisted us greatly. Consequently we were very pleased to see the authors' excellent work in finding these two transitions in chromium. With these confirming data, our picture of this element is clarified considerably, so we expect that at least some of our work can be published in the near future. R. C. Ruder (E. I. du Pont de Nemours & Cu., Wilmington, Del.)—The authors' interpretation of these transitions in terms of 3d to 4s electronic structure transitions is most interesting. It would be interesting to have additional experimental evidence of such transitions from the temperature dependence of the Hall coefficient in the neighborhood of the property changes discussed in this paper. Simple theory15 suggests the Hall coefficient as a measure of the free electron (or s electron) concentration per unit volume. It has been shown that for paramagnetic'" and ferromagnetic1? metals the simple theory is in fact too simple. However, the existence of a discontinuity in the Hall coefficient would provide information which should aid both in our understanding of these transitions and the significance of the Hall coefficient in these metals. It was rather surprising that no significant paramagnetic effects were observed. In this connection the recent work of McGuire and Kriessman18 is cited. They measured the magnetic susceptibility of chromium from 20" to 1460 °C. They also observed no large change in the susceptibility although there might be a change in slope in the vicinity of the 40 °C transition. The existence of these 3d to 4s electronic transitions has been discussed in connection with the paramagnetic susceptibility behavior of nickel and nickel alloys.'"-" Assuming a correspondence principle between classical and quantum mechanical paramagnetic theory and using classical theory to calculate the effective Bohr magneton number from the Curie constant for substances obeying the Curie-Weiss law," it is found that the effective magneton number is a function of temperature. The process of calculation involves the inverse of the differential of the 1/x4 vs. temperature curve so that good and numerous data are necessary to obtain significant results. The data of Fallot23 show a discontinuous increase of about 12 pct in the effective magneton number between 850" and 900 oC, followed by a continuous increase up to the melting point. The data of Sucksmith and Pearce24 show a possible 8 pct increase. The older data of Terry25 and Weiss and Foex26 show a continuous increase. It is possible that small amounts of impurity atoms change these electronic transitions significantly. Fallot's23 data on a nickel alloy with 4.5 atomic pct Fe indicate that the discontinuity occurs around 1300 °C. Systematic investigation of the transition metals for transitions of this nature should provide information which would be very valuable for our understanding of these metals. The absence of antiferromagnetic structures in chromium has been shown by Shull27 using neutron diffraction techniques. M. E. Fine, E. S. Greiner, and W. C. Ellis (authors' reply)—The remarks by Drs. Samans and Ham are certainly very interesting, in particular those pertaining to the close agreement between the theoretically calculated values for transition temperatures in chromium and the experimental values reported by a number of investigators. This is a remarkable achievement and we shall look forward to a more detailed presentation of the method followed in their calculations. We do not believe that the transition in pure chromium near 40 °C remains temperature invariant with alloying, as was reported by Samans and Ham for a number of the substances that they studied. We have not done any work with alloys but base our belief on the results of earlier studies in which less pure chromium was included and considerably lower transition temperatures were observed. Production and financial planning for a new underground mine requires the coordination of equipment and coal reserves in a manner which assures that resources are utilized efficiently in achieving the target mine production. It is necessary to establish the productions which are attainable at the section level during different mining operations (advance, retreat, development) and under different mining conditions (roof, seam height, resource quality). It is also necessary to identify the interactions between production plans and ventilation equipment So that operations can be carried out without disruptions caused by inadequate ventilation. A set of computer models has been applied in planning a number of new coal, oil shale, and phosphate mines. A critical path production model, CPMINE, was used to determine face production levels for different cut sequences and seam heights, taking into account machine performance characteristics and operational availabilities under these varying conditions. The results formed a production data base for use in the mine sequencing model, MPLAN. This model processes each of the segments of a user-defined mine sequence network (strategy tree) taking into account the equipment available for mining operations and the previously determined production scheme devised by the mining engineer. Mine ventilation was analyzed with an expanded version of the Penn State MVS Ventilation model to determine fan and ventilation shaft requirements for supporting alternative production strategies. The MCOM mine cost analysis model has been applied to evaluate the economic performance of mining alternatives. The results of these studies were used to make decisions relating to equipment selection and acquisition schedules for both room-and-pillar and longwall mining systems. The approach and procedures which were used during these studies are described.

THE studies of the mechanism of precipitation and of the resulting property changes in aluminum-silver alloys1-3 have presented some new concepts of the aging reaction-concepts that may be fundamental in establishing a complete quantitative theory of age-hardening. With both aluminum-copper and aluminum-silver alloys, thin platelike aggregates form parallel to the Widmanstätten planes of precipitation.1,4 These platelets grow in lateral dimensions and in thickness with aging time until they are thick enough to produce an X-ray diffraction line pattern. Their structure is that of a transition lattice which is coherent with the matrix, since the atomic spacings in the matrix and the precipitate are the same on each side of their common interface.2,4 The equilibrium precipitate forms later from and at the expense of the transition lattice. Since age-hardening occurs during the formation and growth of the transition lattice, the major contributor to the hardening no doubt is the stress condition in the matrix resulting from the matrix holding the precipitate in the coherent condition. The development of these stresses also appears to be responsible for an increase in the electrical resistance superimposed on the normal decrease resulting from a change in the concentration of the matrix during aging.3 The two consecutive reactions constituting the aging process are accompanied by characteristic microstructural alterations. The initial precipitation process results in the formation of a Widmanstätten figure, while the later transformation of the transition lattice to the equilibrium lattice is accompanied by a coalescence, in the case of aluminum-copper alloys,5 and by the appearance of light areas at the grain boundaries with aluminum-silver alloys showing a structural rearrangement of matrix and precipitate.3 This latter reaction is similar microscopically to the so-called "discontinuous precipitation." Possibly discontinuous precipitation is a process that often if not always follows true precipitation of a coherent lattice and during which the transformation of the coherent transition lattice to the equilibrium lattice takes place accompanied by matrix recrystallization.3 EXPERIMENTAL PROCEDURE The alloys were made using 99.97 per cent Al or distilled magnesium, with

IN the basic open hearth process the reaction of manganese in the bath with iron oxide in the slag attains a condition very closely approximating true equilibrium, and the distribution of manganese between slag and metal during the refining period is determined by the factors which control this equilibrium condition. For this reason a number of investigators have studied this reaction both in the laboratory and under various conditions of furnace operation. The principle reaction and its equilibrium constant are: FeO (in slag) + Mn = MnO (in slag) + Fe (liq.) [1] (MnO) .= (FeO),[%Mn] The symbols in parentheses represent activities of the two oxides in the slag which, in the simple slags consisting almost wholly of the two oxides, may be assumed equal to the respective mol fractions. The symbol (FeO)r is used to denote the total iron oxide computed as FeO; or it is the sum of the mol fraction of FeO plus twice that of Fe2O3. Early attempts to obtain laboratory data on this reaction suffered from failure to appreciate the great speed of the reaction. When slag and metal are cooled slowly together, the equilibrium shifts with temperature and the final compositions correspond to equilibrium at the freezing point rather than at bath temperature. The early work of Oberhoffer and Schenck¹ and of Tammann and Oelsen² apparently suffered from this source of error. In most of the other published laboratory investigationsa. '.' this error was not present but other uncertainties have existed, notably dependence upon optical temperature measurements and exposure to atmospheric oxidation.

MINING engineers in the United States understand that mining conditions in the British coalfields are much more difficult than in most of the mines now being operated in the United States. We realize also that in the near future we must face some of these same difficult problems. Early Mechanization The progress made in mechanical loading in the United States is the result of a long struggle in many coalfields to mine with power tools safely and to increase output per man-shift. Attempts to use power to loosen coal and to transport broken coal in the U. S. may be said to date from the Stanly Header, or Entry-Driver brought from England in 1888. The principle of this boring machine was used in the McKinlay Entry-Driver, almost continuously used in the U. S. since 1920. Since 1888 experimental loaders, scrapers, and conveyors were installed with more or less success. Beginning in 1918, considerable progress was made with mobile loaders, and in 1920 the first wage agreement for the operation of mechanical loaders was made in Indiana. In 1923 the Pocahontas Fuel Co. loaded nearly 1 million tons of coal using 23 Coloders. Labor Policy The United Mine Workers of America have never officially opposed the Mechanization movement. On December 10, 1945, in a statement before the House of Representatives Labor Committee, John L. Lewis said, regarding the policy of the United Mine Workers of America: "We have welcomed progress; we have welcomed machines. We have told our people that they had to accept that condition; that it was the process of progress, and that they would have to take their chances." Recent Development In 1951 about 71 pct of the tonnage mined underground was mechanically loaded. Over 4000 shuttle cars are in service and it is estimated that much more than half of the tonnage loaded underground is produced by trackless mining. In 1947 roof-bolting was introduced extensively and it is estimated that more than 2 ½ million bolts are now being used per month in about 600 mines. The use of roof bolts has permitted the more effective and safer use of loaders and shuttle-cars. Continuous Mining The McKinlay Entry-Driver could have been used for continuous mining, but for many years it was used only .for entry driving. In 1946 the Silver machine was developed in Colorado, and in 1947 this was acquired by the Joy Mfg. Co. and called the Joy Continuous Miner. Other types of combination mining-loading machines which eliminate drilling and blasting operations are the Marietta Miner, the Colmol, the Lee-Norse Miner, the Junior Miner, the Goodman and the Konnerth machines. There are several other types in the process of development. Probably by January 1953 there will be about 250 continuous miners in operation in the U. S. Payment of Mine Labor One of the most important problems in mechanizing was the establishing of rates of pay that would be attractive to the best men. Prior to the installation of mobile loaders the hand loaders and cutters have been paid by the ton. It was felt that a system of a day's pay should be established and that piece and tonnage rates should be abolished completely. Without exception, all coal loaded in mines equipped with mobile loaders is prepared and loaded by men paid an hourly rate. Trends in Mining Research There are two diverse approaches in coal production research; to try to design a mining machine to fit current methods, or to adapt mining practice to take advantage of proven machines. A great deal of credit must go to the mine operators who have been enterprising and dynamic enough to use available equipment intensively and to discard it as soon as an improved or new machine is available. Effect of Changing Markets Formerly there was an important demand for lump and prepared coal in the larger sizes for domestic use. The use of bituminous coal for house heating has decreased so that not more than 19 pct of the annual tonnage goes to retail trade, only 12 pct is used by the railroads, and much of the retail and most of the railroad coal is in stoker size. As a result of this decline in the market for coarse coal most of the large mining operations have crushers installed in the tipples or preparation plants. Mass production at the face requires increased preparation facilities. Another important trend is in connection with complete seam mining with mechanical loading. Temperature measurement in wells is an old practice and geothermal gradients have been of interest to geologists for many years.le2 Their application to the operation of oil wells is a more recent practice. It has long been recognized that temperature anomalies occur in drilling and producing wells but thermometers that could obtain a satisfactory record of the anomalies were not available. The normal geothermal gradient is con-sidered as being about one degree Fahren-heit for each 60 ft. of depth.4 This "nor-mal " gradient varies in different areas, but whatever it may be in an area there is little variation from the surface to as deep as the : drill penetrates. The normal gradient is appreciably changed by gas expanding ; from the reservoir into the borehole or by the movement of fluid through a borehole : while drilling, producing, or circulating. It is the resulting anomalies and abnormal gradients from which conditions in wells can be interpreted. Some of the applications of such interpretations are locating the position of oil or gas sands, permeable strata in a reservoir zone, gas-oil contact, source of water, casing leaks, and the top of cement behind casing. Thermometers A thermometer for use in wells must be sensitive and have a low thermal lag. The sensitivity should permit recording 0.2OF. or less for differential temperatures although the actual temperature need not be more accurate than 1°F. The thermal lag should be as low as rugged construction will permit in order to allow surveys to be made in a minimum of time. Of the several kinds of thermometers, these requirements are most easily obtained with the vapor-pressure, expansion, and electric-resistance types. Thermometers for use in wells may be self-contained—that is, the complete instrument is lowered into the well and a record made of the temperature—or the thermal element only may be lowered into the well and the temperature recorded at the surface. The vapor-pressure and expansion types are more adaptable for a self-contained instrument while the electric-resistance thermometer is more suitable for surface recording of temperatures. The self-contained instrument can be run against high pressure on a single wire line with only one operator required. The instrument and its hoisting equipment is easily portable and can be mounted on a small car. The disadvantages are a somewhat greater thermal lag and the necessity of completing a run before any temperature or temperature anomaly is known. A surface-recording thermometer has the advantage of being somewhat more sensitive and of having a lower thermal lag. Temperature measurement in wells is an old practice and geothermal gradients have been of interest to geologists for many years.le2 Their application to the operation of oil wells is a more recent practice. It has long been recognized that temperature anomalies occur in drilling and producing wells but thermometers that could obtain a satisfactory record of the anomalies were not available. The normal geothermal gradient is con-sidered as being about one degree Fahren-heit for each 60 ft. of depth.4 This "nor-mal " gradient varies in different areas, but whatever it may be in an area there is little variation from the surface to as deep as the : drill penetrates. The normal gradient is appreciably changed by gas expanding ; from the reservoir into the borehole or by the movement of fluid through a borehole : while drilling, producing, or circulating. It is the resulting anomalies and abnormal gradients from which conditions in wells can be interpreted. Some of the applications of such interpretations are locating the position of oil or gas sands, permeable strata in a reservoir zone, gas-oil contact, source of water, casing leaks, and the top of cement behind casing. Thermometers A thermometer for use in wells must be sensitive and have a low thermal lag. The sensitivity should permit recording 0.2OF. or less for differential temperatures although the actual temperature need not be more accurate than 1°F. The thermal lag should be as low as rugged construction will permit in order to allow surveys to be made in a minimum of time. Of the several kinds of thermometers, these requirements are most easily obtained with the vapor-pressure, expansion, and electric-resistance types. Thermometers for use in wells may be self-contained—that is, the complete instrument is lowered into the well and a record made of the temperature—or the thermal element only may be lowered into the well and the temperature recorded at the surface. The vapor-pressure and expansion types are more adaptable for a self-contained instrument while the electric-resistance thermometer is more suitable for surface recording of temperatures. The self-contained instrument can be run against high pressure on a single wire line with only one operator required. The instrument and its hoisting equipment is easily portable and can be mounted on a small car. The disadvantages are a somewhat greater thermal lag and the necessity of completing a run before any temperature or temperature anomaly is known. A surface-recording thermometer has the advantage of being somewhat more sensitive and of having a lower thermal lag. Some specific observations might be appropriate concerning the reporting of Research and Development results. Each report is usually directed towards a particular group, such as technical, operational financial, or marketing. The requirements and background of the group receiving the report must be considered, and the emphasis and coverage geared to the training of people concerned. For reports that might have large and varied distribution, it is often feasible to group, either as sections or appendixes, the special details and information of interest only to certain functions within the organization. (A check list prepared in conjunction with the various users of the report is sometimes useful to prevent omissions.) Typical points listed might be: Financial- (1) capital requirements, (2) timing of capital expenditures, (3) tax implications, including depreciation, depletion and investment credits, (4) changes in working capital.

This paper discusses methods used in the estimation of natural gas reserves and the general conditions under which the various methods are applicable. The factors used in estimating natural gas reserves are reviewed. Errors which have been found to occur frequently are listed. Introduction The estimation of natural gas reserves has become of paramount interest because of the increasing importance of gas in the nation's economy. Gas is a most desirable fuel, a fact substantiated by the continued rise in the market demand. In addition, new uses for gas are being developed by the chemical, plastic, and associated industries, and plants are being built to make gasoline from natural gas. These are a few of the factors contributing to the importance of the nation's natural gas reserves. With the increased importance of gas there is an increase in the need for reliable estimates of the magnitude and availability of natural gas reserves. These estimates are being used currently: (I) to determine which fields contain sufficient available reserves to justify the construction of pipe-line outlets to serve particular markets; (2) to design pipe lines necessary to serve those fields adequately;] (3) to determine the location of industrial and chemical plants; (4) to finance the development of gas properties, and the construction of gas pipe lines; (5) to determine fair and adequate depletion allowances and depreciation rates; (6) to justify applications for gas pipe lines before various regulatory bodies; (7) to determine the number of wells required to exploit the reserves most economically; (8) to aid in establishing values for the purchase or sale of gas properties, and for purposes of inheritance taxes; (9) to determine equities under unitized operations; (10) to provide a basis for calculating the economics of gas-cycling operations. History or Estimation of Natural Gas Reserves The natural gas industry in the United States had its beginning during 1826 when natural gas was used for lighting the city of Fredonia, N. Y. The first natural gas pipe line was a 25-mi]le wooden line constructed from hollowed logs, connecting West Bloomfield and Rochester, N. Y. There is no record of an attempt to estimate the gas reserve at West Bloomfield but an attempt was made to determine the capacity of the well by measuring the time required to 611 a large balloon. One of the earlier publications concerning estimation of natural gas reserves is the "Manual for the Oil and Gas Industry," published by the Treasury Department, United States Internal Revenue, in i9i9. This presentation discusses the necessary ingredients for the creation of an acceptable credit structure, i.e., the structure that enables the borrower to attract the funding from different groups of lenders. As the amount of debt in the capitalization of new projects increases, it becomes quite critical that the mining venture sponsors obtain funding in a manner which maximizes the project economics. Attention normally is focused on the inherent operating cost characteristics of a venture such as the cost of mining, milling, transportation, smelting, and refining. The projected costs are derived from lengthy feasibility studies often taking millions of dollars and years to prepare. For a variety of reasons as the amount of equity directly provided by the sponsors declines, the balance must be made up from external credit sources. As a result, once the project becomes operational, debt service requirements assume crucial importance. For most new ventures, in the early years of production, the total amount of periodic debt amortization charges together with the projected interest expenses equals or exceeds the total operating cost. Utmost care must be taken, therefore, to reducing these costs which will then increase the chances for the implementation of the project. Project sponsors must carefully evaluate different funding sources in terms of their potential economic impact and, concurrently, evaluate alternative credit structures in order to be able to attract the selected funding vehicles. In this presentation I will discuss credit sources in the order of their relative appeal; i.e., from the standpoint of maximizing rates of return to the project owners. The tenor of the credit, that is the period from signing a loan agreement to the time of last repayment under the loan agreement, is undoubtedly the most important variable in evaluating the attractiveness of debt sources. Therefore, I will begin by discussing debt sources with the longest maturities and will end with a description of credits with relatively shorter tenors. The availability of different funding possibilities will naturally depend on the geographic location of the proposed venture, the creditworthiness of the borrower and the sponsors, the project economics, and finally the actual liquidity conditions in the capital markets at the time that the funds are committed. U.S. LONG-TERM DEBT MARKET - PUBLIC OFFERINGS AND PRIVATE PLACEMENTS The long-lived nature of most mining projects dictates that the majority of the mine financing be raised from long-term sources. In today's world capital markets U.S. debt issues probably carry the longest maturities available. The maturities can range from 5 to 40 years. Various types of long-term corporate debt instruments can be differentiated from one another by their terms, seniority as to claims against the assets of the issuer, legal form, and whether issued privately or through a public offering. The terms of these debt issues vary widely. For example, the interest rate which is typically fixed at the time of issuance, is determined by the credit quality of the issuer, the maturity, the average life, the seniority of the debt, the quality of control covenants or type of assets pledged as security, and other exogenous factors such as: economic policy, general level of interest rates and cur-rent level of financing activity. The entire principal amount of the debt may be due and payable at maturity (known as a "bullet" maturity) or, more typically, through periodic repayments in equal or staggered amounts. Almost all such debt issues allow for prepayment at the option of the issuer, but require varying amounts of repayment penalties. Disbursements are made over a relatively short period after signing of the debt documentation which may not coincide with the actual funding needs of the project. Financial covenants can be quite stringent, covering areas such as the issuer's financial leverage, working capital, payment of dividends and other distributions, merger and acquisition activities, and limitations on the disposition of property. WHEN I came out of Stanford University in 1922, the out-look for men trained in geology, petroleum engineering, and mining was indeed dismal; in fact, so much so that most of us looked upon our future in those fields as pretty hopeless. Neither our professors nor those men in industry with whom we came in contact gave us any enthusiastic encouragement as to the future of ourselves or the fields we had chosen for our labors. I believe that the attitude of pessimism which saturates everyone about graduation time is lament able and short-sighted, and may often start a young man on his way with an attitude of defeatism. Instead, he should be starting out knowing that he can expect hard work and keen competition, but that the fields of his labours are expanding at an accelerated rate, and that strong, energetic efforts will as always accomplish highly satisfactory results.

INTRODUCTION From the lender's point of view, the greatest period of risk in a project financing occurs during the construction phase. Therefore, most projects are supported during this phase by completion guarantees supplied by some credit-worthy entity; for example, the project sponsors in the case of a joint venture, such as that of W.R. Grace, Hanna Mining, and Liberty Capital; or by a strong contract with a utility or foreign importer/investor, such as the way North American Coal Corporation has structured many of its transactions. THE PROJECT LOAN REQUEST A project financing is a more complex form of term loan than one using an ongoing corporation's balance sheet as a credit base and, therefore, a potential lender will subject the loan request to a more rigorous analysis. To support this effort, the financial institution will require a more detailed information memorandum to evaluate the credit and technical risks of a project - especially since much of the necessary information is not otherwise available. (See also Gibbs and Sroka paper above in this Chapter) A well-prepared information memorandum will impress prospective lenders with the planning ability and general competence of management. Also, the process of preparing the memorandum will help management understand the true extent of the opportunities and limitations of its venture. Appendix A outlines the topics which comprise a complete information memorandum for a loan request. Of some interest to those seeking to sell a currently-operating mining venture, a similar information memorandum should be prepared i.e., covering the same topics discussed here, for the investment banker to use with potential purchasers. For that purpose, though, one might not want to prepare quite as much detail as for a lender. Appendix B outlines the elements of a reserve evaluation and feasibility study, often called the "Bankable Document." Usually, these studies are prepared by independent engineering consultants for use by potential borrowers and sellers. (Potential purchasers will often contract for a similar study for their use in evaluating an acquisition.) ELEMENTS OF A LOAN INFORMATION MEMORANDUM 1. Outline: The information memorandum should begin with a one-page outline covering such topics as: a. The borrower's name, address, and phone number. b. Principal contact at the borrower. c. Amount of the proposed financing. d. Desired pricing and structure of the proposed financing. This should include a description of the amount and source of equity in the proposed financing. e. Use of the proceeds and timing. 2. Summary: The most important information contained in the memorandum should be summarized in two pages. Note - If the borrower is a recently-formed single-purpose company, then elements 3, 4, and 5 will apply to the guarantors of completion and to the project sponsors. 3. The Borrower: This section is a brief biography of the borrower including such topics as date and state of incorporation, founder(s), lines of business, etc. 4. Capitalization: The borrower's current debt and equity position, including leases and trade debt, with amounts, terms, names, and addresses enumerated. Equity owners, and percentage ownership, should be identified. 5. Historical Financial Statements: If available, a minimum of five year's worth of complete historical financial statements
