ARTICLE I - General Section 1. Name. The name of the corporation shall be The Rocky Mountain Coal Mining Institute. Section 2. Objects and Purposes. The objects and purposes of The Rocky Mountain Coal Mining Institute and the nature of the business to be carried on by it are as follows: (a) To sponsor educational programs pertaining to coal mining technologies and production techniques, mining management and safety, federal, state, and local laws, rules and regulations pertaining to coal mining, and other energy related issues. (b) To disseminate to the public and to educational and scientific institutions knowledge, and the results of study and research into recent developments in coal mining technologies and production techniques, mining management and safety, federal, state, and local laws, rules, and regulations pertaining to coal mining, and other energy related issues. (c) To do and engage in all lawful activities that further or are consistent with the preceding objects and purposes of the corporation. Section 3. Nonprofit Corporation. This corporation shall operate as a nonprofit corporation under the laws of the State of Colorado. ARTICLE 11- Principal Office and Corporate Seal Section. 1. Principal Office. The principal office and place of business of the corporation in the State of Colorado shall be in the County of Jefferson, Colorado, or at such other location as the Board of Directors may from time to time determine. Other offices and places of business may be established from time to time by resolution of the Board of Directors. Section 2. Corporate Seal. The seal of the corporation shall be inscribed with the name of the corporation, the year of its incorporation, and the words "Colorado" and "Seal," and shall be in a form approved by the Board of Directors, which may alter the same at pleasure. ARTICLE III - Members Section 1. Classes. The membership of the corporation shall be divided into three classes, consisting of active members, life members, and senior members, who shall have such rights, privileges, and qualifications as these bylaws may provide. Section 2. Qualifications. The members of the corporation shall have the following qualifications: (a) Any individual interested in the goals and purposes of the corporation may become an active member of the corporation upon payment of such annual dues as the Board of Directors may determine from time to time by resolution. (b) An individual who has devoted long and dedicated service to the corporation and to its goals and purposes may become a life member of the corporation upon being elected to that status by the Board of Directors, and such individual shall retain such status for life. (c) An individual who has been at any time an active member of the corporation and who has reached 70 years of age may become a senior member upon payment of such annual dues as the Board of

forated, allowing the completion of the removal of wash water. When discharged into the washed nut bin, the coal is moist but carries so little water as to not be objectionable to the trade, nor to give any difficulty from freezing during the coldest weather. The rock and bone from the primary jigs is elevated to a 15-ton bin by means of a single strand scraper conveyor 40 feet center to center operating on a 45 degree incline, carrying 12" x 5" scrapers every two feet. This conveyor travels at a speed of 100 feet per minute and has a capacity of 17 tons per hour. From this bin, this material falls into the third or rewash jig similar in all respects to the first two, which discharges the rock waste directly into a 15-ton refuse bin below and the bone into a short dewatering conveyor which delivers into a similar 15-ton bin from which the bone is taken to the powerhouse. The oversize and water from the shaker screen, the water from the dewatering conveyor for both the washed nut and bone, and the sludge and wash water from the three jigs, are delivered by launders to the first compartment of a three-compartment settling tank. Most of the coarser broken coal is deposited in this tank, from which is it continually removed by a bucket elevator carrying 8" x 5" perforated buckets operated on a 60 degree incline at 200 feet per minute, capable of delivering 25 tons per hour to the 50-ton washed coarse slack bin. The water passes successively through the three compartments of the settling tank and from thence through a six-inch pipe to a centrifugal pump, circulating 900 gallons per minute against a 32-foot head. A four-mesh screen 30" x 72" in the third compartment of the settling tank removes the chips of wood, paper, and the other trash, which otherwise would accumulate in the water. Water is provided from the camp water system, deriving water from the well located in an arroyo bed. During the summer months just passed, the water used, has been 108 gallons per ton of raw nut, or 146 gallons per ton of washed nut. The water meter had not been installed last winter, but it is estimated that operating at capacity, the washery will be found to require only about 75 to 100 gallons per ton of raw nut. It has not been found necessary, nor advisable, to attempt to dry the sludge from the settling tank, nor to save the water from leakage of the tanks and bins. The sludge from the jigs is washed into the settling tank and the sludge from the settling tank is washed through a tile drain to the arroyo. The jigs, shaker screen, circulating pump, washed slack elevator, and the rock handling conveyor, are all driven from line shafts driven by one 40 H. P. motor, each jig driven through a clutch. The belt conveyor and the washed nut conveyor, have separate motor drives of five and seven and a half H. P. respectively. The washer is housed in a corrugated iron building, which is partially heated by steam coils. One attendant is required for operation, regulating the feed of the jigs, the supply of water, removal of the rock, and oiling and maintaining the machinery. The rewash jig is operated only intermittently. About eleven per cent by weight of raw nut is removed as waste and four per cent goes to the washed slack bin. No control analyses of the products have been made; the efficiency of the plant being determined only by the physical appearance of the products; but the washery has been a source of pride and satisfaction to all those connected with it. As mentioned before, it has caused no interruption of operation and it has assisted materially in creating an unprecedented demand for ALAMO nut. MR. At the Annual Meeting of the RMCMI Board of Directors held June 29, 1985, the following amendments to the corporation bylaws Article III were made: Section 2. Advisory Board. There shall be an Advisory Board of Directors which shall be com- posed of all former presidents of the corporation and of the unincorporated association, also known as The Rocky Mountain Coal Mining Institute, of which the corporation is the successor. The Advisory Board shall periodically review the philosophy and policies of the corporation and make recommendations concerning the same to the Board of Directors. The Advisory Board shall hold an annual meeting at the same place as and immediately pre- ceding the annual meeting of the members in each year and written notice stating the place, day, and hour of the meeting shall be given or mailed to each member of the Advisory Board at least thirty days prior to the date fixed for such annual meeting. The annual meeting of the Advisory Board shall be for the purpose of electing a chairman from among its members and the person so elected chairman shall also serve as a member of the Board of Directors of the corporation. The Advisory Board shall meet at such other times and conduct its affairs in such a manner as it shall determine from time to time by resolution. Section 4. Regular Meetings. A regular meeting of the Board of Directors shall be held immediately following the annual meeting of the members, at the site of the annual meeting of the members, the day and time to be fixed by the Board of Directors at its annual meeting immediately pre- ceding the annual meeting of the members in each year, without the necessity of any other or advance notice. Such regular meeting of the Board of Directors shall be for the purpose of considering committee appointments, and for the transaction of such other business as may come before the meeting. A regular meeting of the Board of Directors shall also be held in the Fall of each year following the annual meeting of the members and written notice stating the place day and hour of the meeting shall be given or mailed each member of the Board of Directors at least thirty days prior to the date fixed for such regular meeting. Such Fall regular meeting of the Board of Directors shall be for the purpose of receiving the treasurer's annual financial report of the previous fiscal year as reviewed and approved by the auditor, to take action on the budget, and for the transaction of such other business as may come before the meeting. Section 8. Standing Committees. The Board of Directors may create by resolution adopted by a majority of the entire Board of Directors, a Bylaws and Resolutions Committee, a Nominating Committee, a Finance Committee, and one or more other committees each of which shall consist of two or more directors and which shall have and may exercise such authority in the management of the corporation as shall be provided in such resolution or in these bylaws. Section 9. Ad Hoc committees. The Board of Directors from time to time may by resolution create a Membership Committee, a Scholarship Committee, an Education Committee, various convention committees, and one or more other committees each of which shall consist of members of the corporation and which shall have and may exercise such authority, other than in connection with the management of the corporation, as the Board of Directors may determine. MINUTES of the Rocky Mountain Coal Mining Institute 81 st Member Annual Business Meeting July 2, 1985 The 81st Annual Business Meeting of the mem¬bers of The Rocky Mountain Coal Mining Institute was called to order by the president, Charles W. Margolf at 1:35 p.m. Tuesday, July 2, 1985 in the Windom Peak Room of the Tamarron Resort near Durango, Colorado. Thirty members were present and a quorum was established. It was moved by Bill Balaz, seconded and car¬ried to dispense with the reading of the minutes as these were published on pages 67 thru 77 of the 1984 issue of the Proceedings. The chair called for reports of the various com¬mittees and these reports will be placed on file in the RMCMI Office. Bylaws and Resolutions. Chairman Loren V. Linville reported that the Board of Directors had adopted changes to Article III, Sections 2, 4, 8 and 9 calling for clarification of Ad Hoc and Standing Committees as well as setting forth a purpose for the Advisory Board meetings and stating a time for an annual meeting. PRESIDENT PRYDE: I think that the overcutting machine undoubtedly presents a great many benefits, especially where the roof is frail. I have found a good substitute for the Arcwall, getting a lighter machine by equipping a machine with a turret truck, you get a much lighter weight, and while the cutter is not movable vertically, you cut not on top of the seam, but about the middle of it. MR. SC'HLOSS: I would like to ask Mr. Pryde the advantages of cut- ting with this turret-mounted Shortwall machine. PRESIDENT PRYDE: It is better for development work in narrow places. In development work you have a lot of narrow places. MR. LITTLEJOHN: Mr. Chairman, we were compelled at Winter- quarters, one time, to introduce them for reason of sand rolls'. We have in that mine a condition-we have sand rolls from twelve inches to two and a half feet, sometimes higher than that-usually twelve inches to two and a half feet, and we had to get some of the C. E. 7's on the turret there and used them for advance work not only in the entries, but in rooms; not only in that particular district, but in fact all the districts in the mine-we have abandoned the power trucks. You can cut without unloading, and that is one of the principal advantages, and when the sand rolls come in it enables you to cut over the top of the sand roll, but the particular objection, we were working a nine-foot wall, and some of the coal was twelve feet thick, so that the miners have raised a little objection to the drilling.

Pictured on these pages are the eight RMCMI Scholarship Award Winners for the 1989-1990 year followed by a brief profile. All winners, except Emmet Roache from New Mexico, were present as guests of the Institute at the June convention in Steamboat Springs, Colorado to receive recognition at the Welcome Session Monday, June 25, 1990. Each state vice president served as the host for the collegiate winner. In addition to receiving a plaque from the Scholarship Chairman, Dr. Donald Gentry, each winner receives $750 tuition credit for the coming academic year. As this is a continuing award, the winners from the previous year will receive another $750 for tuition credit in their senior year if they have maintained good academic standing and are recommended by their university. Criteria for these awards to be made in the spring annually is (1) That the award be made to a sophomore student and used as tuition during the junior year. (2) That the recipient be both a U.S. citizen and a resident of the state involved. (3) That the recipient have good academic standing, be pursuing a degree in a mining related field and have an expressed interest in Western coal as a possible career path. The scholarship program includes curricula other than those in the mining departments, but in the engineering disciplines, such as geology, mineral processing and metallurgy. Contributions to this worthy project are tax deductible to each individual RMCMI member or his firm. Through annual donations of $100 or more, the Patrons of the Institute fund the scholarship program, and the various vice presidents contribute the travel expenses to conventions for these outstanding young collegiates. [ ] Mildred Benally University of Arizona Tuscan, Arizona Mildred has attended San Juan College in New Mexico, and will graduate from the University of Arizona in May, 1991. Upon completion of her, schooling she hopes to pursue a career in the coal mining industry. In preparation for her goal, her work experience includes being a lab technician, a mining engineer intern, and a lab technician assistant; she also is very skilled in various computer applications. She has been a member of SME-AIME, and secretary to the U of A Student Chapter, and recipient of the SME Coal Division Scholarship and past recipient of the Navajo Tribal Scholarship. [ ] Joshua Olmsted Colorado School of Mines Golden, Colorado Josh is a sophomore majoring in mining engineering at the Colorado School of Mines. He is an outstanding student as well as an accomplished athlete. Josh was on the Academic Honor Roll 1988-1989 and has been awarded an athletic scholarship. Man's capacity far fretting is endless, and no matter what difficulties we surmount, how many ideals we realize, there is a stealthy pleasure in rejecting mankind or the universe as unworthy of our approval. - Will Durant Until recently, reasons for favoring one or another energy alternative were advanced on the basis of technical considerations and economic realities. However, it is an indication of the cultural climate of our society and growing realization of why energy is our master resource that many citizens have begun to express concern about the social and ethical implications of our energy deci¬sion-making. A vivid indication of this shift toward ethical concerns is reflected in the attention being focused on conservation - even to the point of regarding it as a virtual panacea equivalent to a "free energy resource." Among others, the authors of a publication by Resources for the Future cautions us about the difficulties of defining conservation. They also point out that unrealistic expectations for achieving the high levels of conservation claimed by true believers may boomerang if, at the same time, we are morally required to maintain economic growth and robust productivity for the basic well-being of more people. In its economic meaning, conservation signifies the most economic or cost-effective applications of energy, together with other resources, in a given process or activity. To achieve conservation that is cost-effective, saving energy alone is not sufficient; the cost involved in saving the energy must be no greater than the cost of the energy that is saved. Using its thermodynamic meaning, conservation and efficiency are viewed as constrained by physical laws and measured against ideal limits set by these laws and processes. Since achieving higher levels of technical performance is not without costs, the economic meaning of conservation must be factored into technical possibilities. It is the ethical, equity and environmental meaning of conservation that concerns us here. In its third meaning, conservation consists in moderation as a value which appears inherently worthwhile both in itself and in relation to social choices dedicated to achieving distributive justice. The value of moderation seems predicated on the assumption that natural resources and the environment have fixed, finite, exhaustible capacities for satisfying human needs. Hence norms for moderating human behavior appear to require prescriptions by some authority. Such norms presuppose some agreement on "essential" uses of energy. However, the difficulties of setting behavioral norms loom large, because "... it is as difficult to determine essential energy consumption as to determine what is essential in any other phase of consumption, whether it involves food, clothing, shelter, or recreation." The ethical meaning of conversation is further complicated by a centuries-old argument over the proper exercise of stewardship - i.e., how best to develop natural resources. On the one hand, the preservationist position insists on an inviolate, "hands-off" policy and stands opposed to ongoing development of wilderness areas and mineral resources. On the other hand, the "scientific conservationist" who preaches the "gospel of efficiency" insists on development of resources based on principles of sustained-yield, multiple use and - in the case of competing claims - reserving resources or land for their "higher use." Current confusion reigns among opinion leaders in the environmental movement because they appear to have lost the genius of the original Conservation ethic, developed in the 19th century. They seem to think that conservation is preservation. The question I wish to explore is whether a single-minded, exclusive pursuit of "conservation" in its economic, thermodynamic and preservationist meanings may actually do more harm than good in serving the ethical goals of conservation. For the past quarter century, it is fair to say that the political agenda of Western industrialized societies has been driven by those opposed to forms of economic growth providing sustenance to a growing population. They regard growth as the major threat to their social philosophy which champions a wholly "new ethic of biocentric equality" or "living as if Nature mattered." This ethic demands that "a violent, plundering humankind" must abandon its alleged rape of Planet Earth and derive its ethical norms from pre-existing harmonies and fragile, precarious balance present in Nature. A Green political agenda appeals strongly to deep longings shared among many people whose temperament seeks tranquillity in a world of wild natural beauty uncluttered by dependency on tools and experts and specialists. According to proponents of the Green philosophy, our world is pregnant with enormous problems. Armed with expanded political powers, regulatory guardians at state and local levels have mustered their forces with shotguns cocked, poised to prod an ignorant and lazy citizenry to the altar for an exchange of vows with Environmental Ethics. Social engineers have skillfully discredited the traditional role of professionals in scientific engineering who are summarily dismissed as the failed architects of an industrial system pillaging the earth. They stand accused of producing unmanageable offspring - from mining minerals and energy resources to disposing of toxic wastes - whose disputed parentage and expectant crimes against humanity must be prevented by removing them from normal custody. Green critics claim that markets cannot be given custody of industrial offspring - pollutants, wastes, land-use abuses. Markets appear to have failed to provide equity to present and future generations. The only custodian with sufficient coercive power seems to be the regulatory bureaucracy. The upshot is a stark Hobson's choice - Shotgun Wedding vs. Custody Dispute. It derives its fateful predestination from an uncritical acceptance of several preconceptions which currently undergird the altar of Sustainability characterized by its acolytes as "a new and exciting doctrine." It is significant that Limits to Growth slogans of the 1970s have been displaced in the 1990s by the more palatable language of Sustainability. As a policy recommended to forestall an impending doom, Sustainability derives its credibility from dire predictions of global warming, ozone depletion, acid rain and the like. The Rio Declaration announced to the world in June 1992 that, although energy is essential to human well-being, its production and consumption in wealthy industrialized nations is unsustainable. It called for a complete overhaul of energy systems with nothing short of a total replacement of fossil fuels, uranium fission reactors, and large hydroelectric projects by means of so-called renewable energy sources, augmented by coercive regulations to force conservation and limit consumption demands. President W. K. Dennison, Jr., called the final session of the Rocky Mountain Coal Mining Institute to order, and introduced H. A. Cornell, Portland Cement Association, Ft. Collins, Colorado. Mr. Cornell explained that the Portland Cement Association was not a sales organization, but is supported by the major manufacturers of portland cement. The research laboratories of the association are constantly endeavoring to improve the quality of cement, as well as promote new markets, new uses, and new ideas. The association works with engineers, contractors and universities, making available to them the results of their research. Mr. Cornell stated that numerous booklets and bulletins were available on request for any phase of construction with concrete. Mr. Cornell presented a film, "How to Make Quality Concrete," to the members of the Institute. D. W. Lyke, General Electric Apparatus Service Shop, Denver, Colorado, was introduced by President Dennison, who presented a film, "A-Hunting He Would Go." Following the film, Mr. Lyke stated that his firm was not confined to electrical equipment, but to all types of equipment, and asked the members to feel free to call for assistance at any time. These two films concluded the Manufacturer's Hour, and President Dennison opened the final business meeting of the session. Robert F. Bowie, of the Auditing Committee, read the Treasurer's Report, and complimented Mr. Whiteside on the commendable state in which the books were found. The Treasurer's Report is as follows:

Thank you, Tom, I appreciate that generous introduction - and your generous welcome. When Doris Finnie asked me to speak here today, my decision to join you couldn't have been easier - for two reasons. First, I can't say no to an opportunity to return to Steamboat Springs. My family has wonderful memories of skiing here. And this time of year, golf in the mountains is so good you almost don't miss the skiing. The second reason this was such an easy decision is that The Rocky Mountain Coal Mining Institute is such an important forum for the coal industry, and it's certainly important to Peabody. We have mines in five western states - Arizona, Colorado, Montana, New Mexico and Wyoming. Last year, our western mines produced more than 110 million tons of coal. That's about two-thirds of our total domestic production. So western states are obviously critical to us. A couple of weeks ago, the west became even more significant to Peabody. Of course, I'm speaking of PacifiCorp's planned acquisition of The Energy Group - including Peabody - announced the middle of this month. Admittedly, when I agreed to speak here - some months ago - I had no idea just how much change Peabody would face in this relatively brief period. Still, not knowing then about the PacifiCorp announcement, I chose change as the subject for this talk. I'll update you on our recent news. But, first I want to establish a broad context for the PacifiCorp/Energy Group announcement and other change in the electricity business, change here in the United States and all over the world. ? We'll see how change is driven by two major trends - privatization in emerging markets and deregulation in mature markets, In turn, those two trends will cause ever-increasing consolidation - in both the coal industry and the broader power industry. ? After outlining those trends, I'll discuss the change that will dramatically affect Peabody following the announcement a week ago that PacifiCorp and The Energy Group intend to join forces to create one of the world's largest international integrated energy companies - an event that adds considerable credibility to the prophesies I'll outline in my remarks today. ? Finally, I will discuss an issue that threatens our industry's future - and, indeed, the economic future of all Americans. That issue is the inappropriate response to the unproven possibility of global climate change. Let's set the stage for change. And let's begin with the first trend I mentioned - the trend to privatization in developing economies. What drives the trend to privatization? Economics. It's all about the supply and demand of capital. And the engine that drives the supply/demand ratio is growth in electricity demand - tremendous growth in demand in developing economies. The U.S. EIA projects worldwide growth in electricity demand at 63 percent between 1990 and 2010, most of it in developing countries. This strong growth means that a new 500 MW power plant will be needed every three and one-half days until the year 2010. Now, if we say that a 500 MW plant will cost about $500 million dollars, we're talking about a bill of about $1 billion dollars a week - through 2010. That voracious demand for capital drives the trend to privatization. It means countries in Eastern Europe and the former Soviet Union want to sell generating assets. And Asian countries - for example, India, Indonesia and the Philippines - want to find private investors to build power plants. Privatization already is well underway. In the future, it will grow, with countries in South America, Central America, and Africa joining the trend. Bottom line: The privatization trend means rich new opportunities for companies willing to think beyond "business as usual." Meanwhile, developed economies face a different but no less fundamental change. Western European countries, the United States and Australia face deregulation. Why does deregulation represent such a big change? Consider a few basic facts about the U.S. electricity market to see what a big change -

C., particularly to preside at these meetings. I do not think Mr. Harrington needs any introduction to anyone present. He is a member of both the A. I. M. E., and the Rocky Mountain Coal Mining Institute, and has been for a great many years. The Rocky Mountain District is his old stamping ground. I take pleasure in turning the meeting over to Mr. Harrington. (Ap¬plause.) DAN HARRINGTON (Chief Engineer, Safety Division, U. S. Bureau of Mines, Washington, D. C.): Gentlemen, I suppose you have rather a long program, so there is no necessity for any introductory remarks. Inasmuch as I have rather a long-winded paper of my own, I presume the best thing I can do is to go ahead and read it. Mr. Herres asked me some time ago if I would preside here, and also have a paper, or at least have something to say to the Institute on safety. I thought it best to put whatever I had to say in written form, so I would know exactly what I had said and so I would be able to, if necessary, defend it later on.

The final session of the Rocky Mountain Coal Mining Institute was called to order by retiring President, A. Z. Dimitroff. The report of the Auditing Committee was given by E. C. Horne, Acting Chairman of that committee. Motion was made by Dock Schloss that the report he accepted; seconded and carried. Oren Bridwell, Chairman of the Resolutions Committee, gave the following report: Resolved: That the members of the Rocky Mountain Coal Mining Institute in convention assembled, hereby ratify and confirm all official actions of the officers, the Executive Committee and other committees of the Institute between June 29, 1960, and the present time.

Pictured on these pages are the six RMCMI Scholarship Award Winners for the 1988-89 year followed by a brief profile. All winners were present as guests of the Institute at the June convention in Durango, Colorado to receive recognition at the Welcome Session Monday, June 26, 1989. Each state vice president served as the host for the collegiate winner. In addition to receiving a plaque from the Scholarship Chairman, Keith McGinnis, each winner receives $500.00 tuition credit for the coming academic year. As this is a continuing award, the winners from the previous year will receive another $500.00 for tuition credit in their senior year if they have maintained good academic standing and have been recommended by their university. Criteria for these awards to be made in the spring annually is (1) That the award be made to a sophomore student and used as tuition during the junior year. (2) That the recipient be both a U.S. citizen and a resident of the state involved. (3) That the recipient have good academic standing, be pursuing a degree in a mining related field and have an expressed interest in Western coal as a possible career path. The scholarship program includes curricula other than those in the mining departments, but in the engineering disciplines, such as geology, mineral processing and metallurgy. Contributions to this worthy project are tax deductible to each individual RMCMI member or his firm. Through annual donations of $100.00 or more, the Patrons of the Institute fund the scholarship program and the various vice presidents contribute the travel expenses to convention for these outstanding young collegiates. He works volunteer shifts at the University of Arizona San Xavier Mining Laboratory [ ] Johnny F. Blizzard Colorado School of Mines Golden, Colorado A high school graduate of Longmont, Colorado, Johnny carries a 3.968/4.000 at Mines, majoring in Mining Engineering with a minor in Metallurgy. His name has appeared on the Academic Dean's list for the past two years. He received the Robert M. & George R. Harris Scholarship during this past year. He is a student member of SME-AIMMP and an executive council member of CSM's chapter of AIME.
